This template can be used by a seller for the sale of used equipment. This template includes practical guidance, drafting notes, and alternate and optional clauses. This template is for the sale of used equipment and has been drafted with terms and conditions that favor the seller in the transaction. Accordingly, it does not impose terms on the seller that would be beneficial to the Purchaser and/or would often be included in a negotiated agreement for new equipment, such as warranty and indemnification obligations. The Agreement is also premised on the Seller not being the manufacturer of the equipment and therefore does not include terms that would likely be addressed in sales transactions with manufacturers, such as those addressing confidentiality, intellectual property, and infringement obligations.
